3. Client Responsibilities
To ensure the success of our technical solutions, clients agree to:
- Provide timely and accurate information required for service delivery.
- Maintain the confidentiality of account credentials and administrative access.
- Ensure all third-party software used within their environment is properly licensed.
4. Intellectual Property
All content, branding, proprietary code, and SEO strategies developed by IT Works Solutions remain the intellectual property of the company unless otherwise stated in a written agreement. Clients are granted a non-exclusive license to use the deliverables provided for their internal business operations.
5. Limitation of Liability
While IT Works Solutions employs industry-leading Cybersecurity and Managed IT practices, no technology is entirely immune to external threats. To the maximum extent permitted by Nevada law, IT Works Solutions shall not be liable for indirect, incidental, or consequential damages, including data loss or business interruption, resulting from third-party cyber-attacks or hardware failures.
6. Payment and Billing
- Service Fees: Fees for monthly recurring services or one-time projects are outlined in your signed proposal.
- Late Payments: Payments not received by the due date may be subject to late fees or temporary suspension of services.
- Cancellations: Cancellation policies vary by service type and are governed by your specific Service Agreement.
7. Confidentiality
Both parties agree to protect and keep confidential any sensitive business information, trade secrets, or technical data exchanged during the course of the professional relationship.
8. Governing Law
These terms are governed by and construed in accordance with the laws of the State of Nevada. Any disputes arising from these terms shall be resolved in the courts of Clark County, NV.
9. Modifications to Terms
IT Works Solutions reserves the right to update these Terms of Service at any time. Continued use of our website or services following any changes constitutes your acceptance of the new terms.
